Section 2 Scope of application

These general terms and conditions of business shall apply to all contracts concluded between customers and our company via the online shop at www.dgk-gmbh.com.

DGK GmbH provides its offers, supplies and services exclusively on the basis of these general terms and conditions of business. Deviations from these general terms and conditions of business shall only be effective if agreed on an individual basis with an authorised representative of DGK GmbH.

Confirmations submitted by the customer containing references to the customer's own general terms and conditions of business or purchase, which contradict or add to these general terms and conditions of business, shall not become an integral part of the contract, even if DGK GmbH fails to explicitly object to them.

In these general terms and conditions of business, the term “customer” exclusively refers to businesses. Within the meaning of these general terms and conditions of business, businesses are natural persons, legal entities or business partnerships with a legal capacity with which DGK GmbH enters into a business relationship and which act within the scope of commercial or self-employed activities.

Section 3 Offers / conclusion of contract / correction of incorrect entries

The presentation of products in the online shop shall not constitute a legally binding offer, but a non-binding online catalogue. By clicking on the “Buy now” button, you place a binding order for the goods contained in the shopping basket. The receipt of order is confirmed immediately after sending the order and does not yet constitute the acceptance of the contract. We may accept your order in the form of a payment request once an order has been placed, by e-mailing you an order confirmation or by delivering the goods within five working days.

The contract shall be concluded exclusively in German.

You can correct incorrect entries prior to sending your order using the technical means provided in the online shop and using the standard functions on your keyboard and mouse. You can also abort the process at any time by closing the browser window. By clicking on “Buy now”, you place a binding order (offer). It is therefore impossible to correct any incorrect entries afterwards. All orders shall only be recognised on the basis of our drawings and measuring methods.

Section 4 Prices / postage

All prices are NET PRICES denominated in EURO.

DGK GmbH adds postage fees to the prices stated for each order. Customers are informed of the exact postage fee in the shopping basket.

If goods are shipped to countries outside the European Union (EU), varying additional costs, such as taxes and/or customs duties, are also incurred which shall be paid for by the customer.

All prices are NET PRICES denominated in EURO.

Section 5 Payment terms

Unless agreed otherwise, goods shall be paid for in advance, by instant bank transfer, PayPal. On account (only by agreement)

  • Advance payment:
    You pay for the goods in advance per bank transfer within seven days from payment request. In deviation from Section 6, the delivery period shall start the day after you have sent your payment instructions to the bank.
  • Instant bank transfer:
    You pay for the goods online and in advance directly through your online bank account (PIN/TAN) using the payment system of Sofort AG.
  • PayPal: You pay for the goods directly using your PayPal account. Once you have sent your order, you will be transferred to PayPal where you approve the order value.
  • On account (on request):
    You pay for the goods by bank transfer within 14 days from receipt of invoice.

Section 6 terms and conditions of delivery / approval / risk transfer

The delivery period is one to two working days from receipt of order or payment, unless specified otherwise in the description of goods.

However, the obligation to deliver the goods / provide services to the companies within the specified period shall be void if deliveries to DGK GmbH are incorrect or delayed, but DGK GmbH has concluded a specific hedging transaction and is not responsible for the unavailability. The company shall be notified immediately about the unavailability of services and any consideration already paid shall be reimbursed without delay.

In the event of sale by dispatch, companies assume the risk of accidental destruction / deterioration of the goods sold upon the delivery of the goods to a suitable carrier (haulier, freight forwarder, post, etc.).

Section 7 Retention of title

The goods shall remain the property of DGK GmbH until the purchase price has been paid in full. In the event of goods subject to retention of title being processed, connected or installed, the customer shall grant DGK GmbH co-ownership to the newly created goods in proportion of the value of the goods delivered by DGK GmbH to the other goods at the time they were combined.

The customer may sell the goods subject to retention of title during ordinary business. The customer shall herewith already assign its receivables due from the sale of the goods subject to retention of title or other legal reasons to DGK GmbH as a security. DGK GmbH shall accept the assignment. The customer may collect the assigned receivables for its own account and own name. This right may be revoked at any time. The customer shall provide all information and documentation required upon request by DGK GmbH (extended reservation of title). The customer shall be prohibited from pledging the goods subject to retention of title or transferring them as security to third parties.

In the event of third parties accessing the goods subject to retention of title, in particular in the case of them being seized, the customer shall point out the fact that the goods are the property of DGK GmbH and notify DGK GmbH immediately. Failure to meet this obligation shall result in the customer assuming all costs and damages.

Section 9 Cancellation

Please note that tailored seals shall be excluded from exchange and cancellation.

Section 10 Information on liability for defects (warranty)

a) the statutory warranty regulations shall apply to companies, with the following exceptions: The company shall agree to check goods for defects immediately upon receipt and report any apparent defects within a period of seven days from receipt of goods in writing / per e-mail. The same shall apply to hidden defects as from the discovery of the defect. In order to comply with the reporting period, it is sufficient to send the defect report on time. Should the company fail to send the above-stated defect report, the goods shall be deemed to have been approved even with the respective defects.

Section 11 Storage of the contract

We store the contract and e-mail it to customers immediately after they have sent their order, together with the cancellation policy and general terms and conditions of business. The customer may also print the order data immediately after sending the order.

Section 12 Governing law / place of jurisdiction

The contract is exclusively governed by German law.

Place of jurisdiction: Munich

If the customer is a business person, legal entity under public law or special fund under public law (Section 38 of the Code of Civil Procedure (Zivilprozessordnung – ZPO) and if he/she has concluded this contract in this capacity, the court responsible for our company shall be the exclusive place of jurisdiction. We further reserve the right to start proceedings against the customer at any other legal place of jurisdiction.
